FatFace is owned by Next (the United Kingdom, LSE: NXT), which acquired the brand on 13 October 2023 for £112 million.[1][2] FatFace was founded in 1988 in the United Kingdom and was independent until 2023.
Next owns 97% of FatFace rather than all of it.
This ownership is reported in official statements but has not yet been matched to a regulatory filing.
FatFace was started by two ski bums selling sweatshirts to fund another season in the Alps, and its name comes from a run on Val d'Isère. Next acquired it in 2023 after the chain ran into difficulty. Next acquired it through a pre-pack administration, a structure that let the buyer take the brand and the viable shops while leaving unwanted liabilities behind.
NEXT acquired 97% of FatFace on 13 October 2023 for total consideration of £111.6 million, made up of £57.6 million in cash, £53.4 million in NEXT shares and £0.6 million of loan notes. FatFace management reinvested for the remaining 3%, held through put and call options exercisable from 2027. NEXT moved the business onto its Total Platform infrastructure the following year.
